Terms of Service

The rules and conditions for using CandexAI’s CandexAI platform, website, and connected messaging and voice channels.

Agreement to terms

These Terms of Service (“Terms”) govern access to and use of CandexAI’s website, dashboard, APIs, widgets, voice features, and related services (the “Services”) operated by CandexAI (“we,” “us,” or “our”).

By creating an account, connecting a channel, or otherwise using the Services, you agree to these Terms on behalf of yourself and the organization you represent (“Customer,” “you,” or “your”). If you do not agree, do not use the Services.

The Services

CandexAI is a CandexAI platform that enables omnichannel inbox management, AI chat and voice agents, CRM, campaigns, automations, analytics, and integrations across channels including WhatsApp, Instagram, Facebook Messenger, web chat, email, and telephony.

Features vary by plan (Spark, Launch, Grow, and Custom/Enterprise). Usage limits — such as included voice minutes, team seats, and automations — are described on our pricing page and in your order or agreement.

Accounts and access

  • You must provide accurate registration information and keep credentials secure.
  • Workspace owners are responsible for invitations, role assignments (RBAC), and actions taken by team members.
  • You must be at least 18 years old and authorized to bind your organization.
  • We may suspend accounts that violate these Terms or applicable channel policies.

Acceptable use

You agree not to misuse the Services. Prohibited conduct includes, without limitation:

  • Sending unsolicited bulk messages, spam, or messages without valid opt-in where required by law or platform rules.
  • Violating Meta WhatsApp Business, Instagram, or other connected platform policies.
  • Impersonating others, distributing malware, or attempting unauthorized access to systems or data.
  • Using AI voice or chat to harass, defraud, or deceive consumers.
  • Processing special-category personal data without lawful basis and appropriate safeguards.
  • Reverse engineering, scraping, or reselling the Services except as expressly permitted in a partner agreement.

Customer data and privacy

You retain ownership of content and data you submit through the Services (“Customer Data”), including contact lists, messages, knowledge-base files, and CRM records.

You grant CandexAI a limited license to host, process, and transmit Customer Data solely to provide and improve the Services, as described in our Privacy Policy.

You are responsible for obtaining necessary consents from your end users, providing required notices, and complying with applicable privacy and marketing laws (including GDPR, CCPA/CPRA, and telecom regulations where relevant).

AI-generated outputs

AI agents may produce inaccurate, incomplete, or inappropriate responses. You are responsible for reviewing AI behavior, configuring guardrails, and ensuring use cases comply with your industry regulations.

CandexAI does not provide legal, medical, or financial advice through AI outputs. Human oversight is recommended for high-risk decisions.

Plans, billing, and usage

  • Paid plans renew monthly or annually unless cancelled according to dashboard instructions or your enterprise agreement.
  • Voice usage beyond included minutes is billed at published rates (currently $0.045/min on Spark through Grow and $0.043/min on Scale and Enterprise unless otherwise agreed in writing).
  • Fees are non-refundable except where required by law or explicitly stated in an order form.
  • We may change pricing with reasonable notice; changes apply on your next billing cycle unless you cancel.
  • Free Spark accounts are subject to fair-use limits and may be modified or discontinued with notice.

Third-party channels and integrations

Connecting WhatsApp, Instagram, Meta, Google, CRMs, or other third-party services is subject to those providers’ terms and approval processes. CandexAI is not responsible for outages, policy changes, or account restrictions imposed by third parties.

You authorize CandexAI to act as your technical provider where required to deliver messages and calls through connected channels.

Enterprise and Custom plans

Custom/Enterprise customers may receive additional terms in an order form or master services agreement, including volume pricing, white-label widget rights, dedicated support, and uptime SLAs (e.g., 98% uptime where contracted). If there is a conflict, the signed enterprise agreement controls for that customer.

Intellectual property

CandexAI and its licensors own the Services, software, branding, and documentation. These Terms do not grant you ownership of our intellectual property.

You may provide feedback; we may use it without restriction or compensation.

Availability and support

We strive for reliable operation but do not guarantee uninterrupted access. Scheduled maintenance and factors outside our control (including carrier or Meta outages) may affect delivery.

Support levels depend on your plan. Enterprise customers receive dedicated support as specified in their agreement.

Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNERVO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNERVO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SYNERVO IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100) IF YOU USE A FREE PLAN.

Indemnification

You will defend and indemnify CandexAI against claims arising from your Customer Data, your use of the Services, violation of these Terms, or breach of applicable law or third-party platform policies.

Termination

Either party may terminate paid subscriptions according to billing terms. We may suspend or terminate access immediately for material breach, non-payment, or risk to platform integrity.

Upon termination, your right to use the Services ends. Provisions that by nature should survive (including payment obligations, disclaimers, liability limits, and indemnity) will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory consumer protections in your jurisdiction apply.

Disputes will be resolved in the state or federal courts located in Delaware, unless otherwise required by law or agreed in an enterprise contract.

Changes

We may modify these Terms by posting an updated version on this page. Continued use after changes become effective constitutes acceptance. Material changes to paid customers may be notified by email.
